  • An up-to-date recorded title and identification of all owners.
  • Address, tax registration, dimensions, frontage, and a survey of the lot.
  • Information on existing structures, occupancies, leases, and restrictions.
  • Documents related to probate, usufruct, collateral, easements, or other liens, where they exist.
  • Your value expectation and openness to different negotiation models.

How a developer calculates an offer

The analysis doesn’t start from the price per square meter of the land alone. The developer estimates what can be built and sold, subtracts costs and risks, and from there calculates how much the deal can afford to pay for the site.

That calculation factors in buildable potential, design efficiency, sales price, commercial pace, construction, design, taxes, marketing, financing, building-rights charges, demolition, contingencies, and the margin required to take on the risk.

Purchase, revenue-share swap, or unit swap

The negotiation can take different forms. In a direct purchase, payment follows the agreed terms. In a revenue-share swap, the owner receives a share of the development’s revenue. In a unit swap, the owner receives future units. Each model carries risks, timelines, guarantees, and tax effects that need to be assessed with legal and accounting advice.

Before accepting an offer

  1. Compare not just the headline figure, but also the timeline, terms, guarantees, and risks.
  2. Verify the developer’s experience and capacity to execute.
  3. Understand which approvals the deal is contingent on.
  4. Formalize obligations, study periods, and withdrawal criteria.
  5. Seek independent legal and tax advice before signing.

Land is worth what a viable project can sustain

A well-grounded expectation increases the chance of a deal. When owner and developer both understand the assumptions behind the feasibility, the conversation stops being a mere price dispute and starts considering the best structure for the deal.
